Nevada Name Search, Selection and Registration

A name search is a mandatory requirement of the company-name registration process. Upon conclusion of the name search, any proposed name for a new corporation that is a duplicate of the name for an existing corporation will be denied registration. Following the same guidelines, any proposed name for a new corporation that can be construed as or mistaken for an existing domestic or foreign corporation will also be denied registration. In certain circumstances, if written consent is obtained from a company using a name, or a person with that name, permission to use the existing name may be granted.

The word "Incorporated," "Corporation," "Company," "Limited," or an abbreviated version of any of these signifiers must be included as part of the incorporated business name. In addition, any company name that can be construed as the name of an actual person, or as the initials of an actual person, must always be followed by one of the above business entity signifiers, or some other identifying term.

Nevada Incorporation, Board and Operations Requirements

  • The S Corporation is a recognized entity.
  • Revision of the initial filing fee may occur if shares or par value increases.
  • The Board must have a minimum of one director.
  • A place-of-residence requirement is not imposed.
  • A director must be 18 years of age, or older, and a natural person (human being).
  • Articles of incorporation do not require names of directors to be listed.
  • Articles of incorporation do not require names of corporate officers to be listed.
  • A copy of the stock ledger (or a written explanation of its exact location), as well as the articles of incorporation, amendments and bylaws, as certified by the Secretary of
  • State, must be kept at the main corporate headquarters.
